Terms of Service
These Terms govern your use of the ThynkAudit platform (the "Service") operated by ORIS Intelligence Pvt Ltd ("ORIS", "we"). By creating an account or accessing the Service you agree to these Terms.
1. Service description
ThynkAudit is a workflow tool that assists Chartered Accountants in performing statutory and tax audits in India. It produces Form 3CD, Schedule III financial statements, CARO 2020 reports, and supporting working papers. It does not perform audits, provide audit opinions, or substitute for the professional judgment of a Chartered Accountant.
2. User responsibilities
- You are responsible for the accuracy of data you upload
- You retain responsibility for all professional opinions, conclusions, and statutory filings
- You must not upload data you are not legally entitled to process
- You must keep your login credentials and DSC certificates secure
- You must comply with the ICAI Code of Ethics, NFRA inspections, and applicable tax laws when using the Service
3. Subscription and billing
Plans, pricing, and engagement / user limits are listed on our pricing page. Subscriptions auto-renew unless cancelled. Trial periods convert to paid plans only with explicit consent. We may suspend access for non-payment after a 14-day grace window.
4. Acceptable use
You agree not to: (a) reverse-engineer the Service; (b) attempt to access data of other tenants or engagements; (c) use the Service to prepare reports for entities you are not duly authorised to audit; (d) upload malware or content that infringes third-party rights. Violation may result in immediate suspension.
5. Intellectual property
ORIS retains all rights to the Service software, templates, scrutiny rules, and AI agent prompts. You retain ownership of all data and working papers you create. We grant you a non-exclusive, non-transferable licence to use the Service during the subscription term.
6. Professional liability disclaimer
ThynkAudit is a technology tool that assists Chartered Accountants in performing audit procedures. All audit opinions, conclusions, and professional judgments remain the sole responsibility of the signing Chartered Accountant. ORIS Intelligence Pvt Ltd does not provide audit opinions, legal advice, or professional assurance.
7. Limitation of liability
To the maximum extent permitted by law, ORIS' aggregate liability for any claim arising out of these Terms shall not exceed the fees paid by you in the 12 months preceding the claim. ORIS shall not be liable for indirect, consequential, or punitive damages, or for losses arising from your professional conclusions or statutory filings.
8. Termination
Either party may terminate for material breach with 30 days' written notice. Upon termination, you may export your data within a 90-day grace period using the audit-file export feature. After 90 days, data is permanently deleted unless legal hold applies.
9. Governing law
These Terms are governed by the laws of India. Disputes shall be subject to the exclusive jurisdiction of the courts at Bengaluru, Karnataka.
10. Changes
We may amend these Terms with 30 days' notice for material changes. Continued use after the effective date constitutes acceptance.
